1. Acceptance of Terms

By creating an account, accessing, or using EagleScope, you confirm that:

• You are at least 18 years old or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You will comply with these Terms and all applicable laws and regulations
• If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms

2. Description of Service

EagleScope is an AI-powered medical research literature platform that:

• Scans and classifies academic publications across orthopedic subspecialties and other medical fields
• Delivers personalized research digests based on your subspecialty interests and preferences
• Provides scannable summaries and insights from newly published papers
• Offers audio briefings of research digests for convenient listening
• Includes a Research Assistant for literature-related questions
• Enables personal paper libraries and co-author network discovery

Important: EagleScope is designed to help medical professionals, researchers, and students stay current with published research. The Service provides summaries of published academic literature for informational purposes only. EagleScope does not provide medical advice, diagnosis, or treatment recommendations. It does not replace professional clinical judgment, peer review, or consultation with qualified healthcare professionals.

3. Account Registration

3.1 Account Creation

To access the Service, you must create an account using one of the supported authentication methods (Sign in with Apple, Google Sign-In, or email/password). You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. EagleScope is not liable for any loss or damage arising from your failure to protect your account information.

3.3 Account Deletion

You may delete your account at any time through the account settings within the app or on the website, or by contacting us at legal@eaglescope.ai. Upon deletion, your personal information will be handled in accordance with our Privacy Policy.

4. Subscriptions and Payments

4.1 Free and Paid Services

EagleScope offers both free and paid subscription tiers. Certain features are available only to paying subscribers. Details on available tiers and pricing are displayed within the app and on our website.

4.2 iOS App — Apple App Store

If you subscribe through the iOS app, your purchase is processed by Apple. The following terms apply:

• Payment is charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period
• You can manage your subscriptions and turn off auto-renewal in your Apple ID Account Settings
• You may turn off auto-renewal at any time; you will retain access to paid features until the end of the current billing period. Refunds for the unused portion of the current period are subject to Apple's refund policy.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription
• Subscription prices may vary by region and are displayed in your local currency at the time of purchase

Your use of in-app purchases on iOS is also subject to Apple's Standard Licensed Application End User License Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdevstandard/) and Apple's Terms and Conditions (https://www.apple.com/legal/internet-services/terms/site.html).

4.3 Website — Stripe

If you subscribe through our website (eaglescope.ai), your purchase is processed by Stripe. The following terms apply:

• You authorize us to charge your payment method on a recurring basis (monthly or annual, depending on the plan selected)
• Subscriptions automatically renew unless cancelled before the end of the current billing period
• You can manage or cancel your subscription through your account settings on the website
• Upon cancellation, you will retain access to paid features until the end of the current billing period
• All fees are in U.S. dollars unless otherwise specified

4.4 Price Changes

We may change subscription prices with reasonable notice. Price changes will take effect at the start of your next billing cycle after the notice period. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

4.5 Refunds

For iOS subscriptions, refund requests are handled by Apple in accordance with Apple's refund policy. For web subscriptions, please contact us at legal@eaglescope.ai to request a refund. Refunds are provided at our discretion and in accordance with applicable law.

5. User Responsibilities

By using EagleScope, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Provide accurate information about your research interests and professional background
• Not share your account credentials with others
• Not attempt to access other users' accounts or data
• Not interfere with or disrupt the Service or its infrastructure
• Not use automated systems (bots, scrapers, crawlers) to access the Service without our prior written permission
• Not reproduce, distribute, or commercially exploit the Service or its content without authorization

6. Intellectual Property

6.1 EagleScope Content

The Service, including its design, features, software, classification algorithms, summary formats, user interface, text, graphics, logos, and other content created by EagleScope, is owned by EagleScope and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

6.2 Third-Party Research Content

Research papers, abstracts, and publications referenced through the Service are the intellectual property of their respective authors, publishers, and rights holders. EagleScope provides summaries and references to published research for informational and educational purposes. Users are responsible for complying with applicable copyright laws when accessing original publications through external links.

6.3 User Content

You retain ownership of any content you submit to the Service (such as profile information, preferences, saved libraries, and Research Assistant queries). By submitting content, you grant EagleScope a non-exclusive, worldwide, royalty-free license to use, store, and process that content as necessary to provide and improve the Service, in accordance with our Privacy Policy.

7. AI-Generated Content

7.1 Nature of AI Summaries and Responses

EagleScope uses artificial intelligence to generate paper summaries, research digests, audio briefing scripts, and Research Assistant responses based on published academic literature. You acknowledge that:

• AI-generated content is provided for informational purposes only
• Summaries may not capture all nuances, limitations, or context of original publications
• AI may occasionally produce errors, omissions, or inaccuracies
• You should always verify important information by consulting original publications
• AI-generated content should not be cited as a primary source in academic work without verification

7.2 No Medical or Professional Advice

AI-generated content does not constitute medical, legal, financial, or professional advice. EagleScope is not a substitute for professional clinical judgment, peer review, or consultation with qualified experts. Always refer to original publications and consult appropriate professionals for decisions affecting patient care, research design, or clinical practice.

7.3 Continuous Improvement

We continuously work to improve the accuracy and quality of our AI classification and summarization systems. Your use of the Service helps us enhance our models, subject to the data practices described in our Privacy Policy.

8. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect user information without consent
• Circumvent any access controls, rate limits, or usage limits
• Resell, sublicense, or commercially redistribute the Service or its content without authorization
• Use the Service to train competing AI models without our prior written permission
• Misrepresent AI-generated summaries as your own original analysis or writing
• Systematically download, scrape, or bulk-extract content from the Service

9. Disclaimers

9.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

9.2 No Guarantee

EagleScope does not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated summaries or classifications will be accurate, complete, or current
• Any errors in the Service will be corrected within a specific timeframe
• The Service will meet your specific requirements
• All relevant publications in a given field will be captured by our classification system

9.3 Third-Party Research Content

EagleScope does not guarantee the accuracy, completeness, or timeliness of any research summaries, classifications, or recommendations. We do not endorse or verify the conclusions of the underlying research papers. We are not responsible for the content of third-party publications referenced through the Service.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAGLESCOPE AND ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10.2 Specific Exclusions

WITHOUT LIMITING THE FOREGOING, EAGLESCOPE SHALL NOT BE LIABLE FOR ANY CLINICAL DECISIONS, PATIENT OUTCOMES, RESEARCH CONCLUSIONS, OR PROFESSIONAL ACTIONS TAKEN BASED ON INFORMATION OBTAINED THROUGH THE SERVICE.

10.3 Liability Cap

IN NO EVENT SHALL EAGLESCOPE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO EAGLESCOPE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless EagleScope and its founders, officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service
• Any clinical or professional decisions made based on information obtained through the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time through the account settings within the app or on the website, or by contacting us at legal@eaglescope.ai.

12.2 Termination by EagleScope

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

12.3 Effect of Termination

Upon termination:

• Your right to access the Service will immediately cease
• If you have an active paid subscription, cancellation and refund terms in Section 4 apply
• We may delete your account and associated data in accordance with our Privacy Policy
• Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, and 13 through 17) will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@eaglescope.ai and attempt to resolve the dispute informally for at least thirty (30) days.

13.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and take place in Boston, Massachusetts, United States, unless otherwise agreed by both parties.

13.3 Class Action Waiver

YOU AND EAGLESCOPE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

13.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for intellectual property infringement or other urgent matters.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Suffolk County, Massachusetts.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website and within the app
• Updating the "Last Updated" date at the top of this page
• Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account in accordance with Section 12.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy (available at https://eaglescope.ai/privacy), constitute the entire agreement between you and EagleScope regarding the Service. For iOS users, these Terms supplement (and do not replace) Apple's Standard Licensed Application End User License Agreement.

16.2 Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. EagleScope may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.

16.5 Notices

We may provide notices to you via email, through the Service, or by posting on our website. You may contact us at the addresses provided in Section 17.

16.6 Force Majeure

EagleScope shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or third-party service disruptions.
